1. Acceptance of Terms

Welcome to Care Cadet Inc. (“CareCadet,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) govern your access to and use of the Care Cadet website, mobile application, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

2. About Care Cadet

Care Cadet operates a digital healthcare marketplace that enables users to:

• Browse and compare healthcare pricing and services
• View provider and quality information
• Book or purchase prepaid care bundles and services

Care Cadet does not provide healthcare services, medical advice, or insurance coverage.

All healthcare services are delivered solely by independent, licensed third-party providers (“Providers”). Care Cadet does not control or direct the medical judgment of Providers.

3. Eligibility and Accounts

You must be at least 18 years of age to use the Services. By creating an account, you agree to:

• provide accurate, current, and complete information
• maintain the confidentiality of your login credentials; and
• accept responsibility for all activities under your account.

Care Cadet may suspend or terminate any account for inaccurate information, misuse, or violation of these Terms.

4. Permitted Use

Care Cadet grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, lawful, non-commercial purposes.
You may not:

• copy, modify, or distribute any portion of the Services;
• use automated tools to scrape or harvest data;
• interfere with platform security or functionality; or
• use the Services in violation of applicable law or third-party rights.

5. Provider Information and Listings

Provider profiles, pricing, and quality data are supplied by Providers, public databases, or third-party sources.
Care Cadet strives for accuracy but does not guarantee that listings or pricing are complete, current, or error-free. Providers are solely responsible for the accuracy of their listings and delivery of services.

6. No Medical Advice

Content available through the Services is for informational and educational purposes only.  Care Cadet is not a healthcare provider and does not diagnose, treat, or recommend specific medical care. You should always seek advice from a qualified healthcare professional regarding any medical condition or treatment.

7. Scheduling and Care Bundles

When you purchase or book a Care Bundle:

• You are entering into a direct relationship with the Provider.
• Care Cadet acts solely as a technology and payment facilitator.
• We are not responsible for medical decisions, outcomes, or quality of care.

Care Cadet is not a party to the provider-patient relationship. All clinical decisions, outcomes, and liabilities remain the sole responsibility of the Provider.

8. Payment Terms for Care Bundles

8.1 Transaction Structure

Each individual card transaction will not exceed $250.
For higher-value Care Bundles, payments may be processed as multiple split transactions for fraud prevention and payment security, consistent with marketplace best practices.

8.2 Pre-Payment

All Care Bundles must be prepaid at booking. Payments are processed through secure, PCI DSS-compliant payment partners. Care Cadet does not store full card numbers.

8.3 Cancellation and Refunds

• Full Refund: Cancellations received 24 hours or more before the appointment qualify for a 100 % refund to the original payment method within 5–7 business days.
• Partial Refund: Cancellations between 4 and 24 hours before the appointment qualify for a 50 % refund.
• No Refund: Cancellations made less than 24 hours before the appointment or no-shows are non-refundable.
• Provider Cancellations: If a Provider cancels, you may choose a full refund or complimentary rescheduling.
  Refunds will be issued via the original payment method unless prohibited by your financial institution.

8.4 Completion of Service

Once a Care Bundle is completed, funds are released to the Provider. No refunds are available after services are rendered.

8.5 Disputed Charges

Billing inquiries must be submitted to support@carecadet.com within 10 business days of the transaction date. Care Cadet will review disputes in good faith but is not responsible for Provider billing decisions or clinical charges.

9. Missed Appointments and No-Show Policy

Care Bundle pricing includes only what is explicitly listed in the Bundle description.

Care Cadet is not responsible for:

• Additional procedures or tests ordered by a Provider
• Facility, anesthesia, pathology, or specialist fees not listed
• Complications or changes in treatment scope
• Provider-initiated billing disputes

Any additional services are billed directly by the Provider.

10. User Content and Feedback

You may submit reviews, comments, or suggestions (“User Content”).
By submitting User Content, you grant Care Cadet a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Services.
You represent that your submissions are lawful and do not violate others’ rights.
Care Cadet reserves the right to remove or edit User Content at its discretion.

12. Intellectual Property

All software, designs, text, graphics, logos, and other materials within the Services are the property of Care Cadet Inc. or its licensors and are protected by U.S. and international intellectual-property laws.
No license or ownership rights are transferred to you except as expressly provided.

13. Privacy, HIPAA, and Data Use

Use of the Services is governed by our Privacy Policy.

Care Cadet is not a HIPAA-covered entity. However, certain Providers or partner systems may be subject to HIPAA or other healthcare privacy regulations. Your interactions with those Providers may be governed by their own privacy notices.

Care Cadet follows industry security practices but cannot guarantee absolute security.

14. Third-Party Links and Integrations

The Services may integrate with third-party platforms such as:

• Payment processors
• Scheduling tools
• Provider EHR or patient portals

Care Cadet does not control or endorse these systems and is not responsible for their performance or data practices. Your use of third-party services is at your own risk.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
CARE CADET INC. MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the services will be error-free, secure, or uninterrupted, or that any information obtained will be accurate or complete.

16. Limitation of Liability

To the maximum extent permitted by law, Care Cadet Inc. and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the services or these terms.
In no event shall our aggregate liability exceed the greater of USD $100 or the amount you paid for the transaction at issue.

17. Indemnification

You agree to defend, indemnify, and hold harmless Care Cadet Inc., its affiliates, and their respective officers and employees from any claims, losses, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

18. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or applicable law.
Upon termination, your right to use the Services ceases immediately.
Sections 8 through 22 shall survive termination.

19. Modifications

Care Cadet may modify or update these Terms at any time by posting a revised version with a new “Last Updated” date.
Your continued use of the Services after such posting constitutes your acceptance of the revised Terms.

20. Arbitration and Class Action Waiver

All disputes arising from or related to these Terms or the Services shall be resolved through binding arbitration in the State of Utah.

You waive your right to bring or participate in any class action, representative action, or jury trial.

21. Notices and Communications

Care Cadet may provide notices via email, in-app message, or posting within the Services.

22. Miscellaneous

Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Care Cadet Inc.
Severability: If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Assignment: You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
